  Articles of Incorporation for Hindu Temple Association of Eastern Iowa

Articles of incorporation of the Hindu Temple Association of Eastern Iowa, the undersigned who are the initial Members of the Executive Committee of the Temple, desiring to form a non-profit corporation under the Iowa non-profit corporation Act, Chapter 504A, 1999, do hereby certify:

The name of the organization shall be "Hindu Temple Association of Eastern Iowa." and is hereinafter referred to as the "Temple"

The place in this state where the principal office of the corporation is to be located is the city of Cedar Rapids, Linn County.

The term for which the Temple is to exist is perpetuity.

To provide identity of Hindu religious and cultural roots for the Eastern Iowa Community.

  • The Temple shall be a not-for-profit organization under the laws of The State of Iowa and The United States Federal Government.

  • The Temple shall be an ecclesiastical organization.

  • All State of Iowa and United States Federal Government laws shall preempt provisions mentioned here in this document.

  • To establish a Hindu Temple and Cultural Center for religious, social and cultural activities for use of the community.

  • To provide a facility and medium where the Hindu religion, philosophy and way of life benefit the society at large.

  • To foster the teachings of Hindu scriptures and practices.

  • To form a charitable and educational organization to promote social, cultural, religious, and spiritual understanding based upon Hindu religious principles and practices.

  • To conduct educational programs for children and adults based on Hindu values and traditions.

  • To promote friendship and goodwill among all people.

  • To provide a platform for humanitarian services to the community.

  • To provide spiritual and physical care on a not-for-profit basis.

  • To support any activity heretofore unlisted, but deemed appropriate for the benefit of the society, by the majority of members (Article 2 By-laws) of the Temple.
     

  • All activities shall be in keeping with the dignity and respect for the sanctity of a holy place and according to Hindu traditions.

  • The activities of the Temple shall be open to all.

No part of the net earnings of the Temple shall inure to the benefit of, or distribution to, its members, trustees, officers or other private persons, except that the Temple shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of the mission set forth in Article VI hereof.  No substantial part of the activities of the Temple shall include engaging in propaganda or otherwise attempting to influence legislation and the Temple shall not participate in, or intervene (including the publishing and distribution of statements) in any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of these articles, the Temple shall not carry on any other activities not permitted to be carried on (a) by an Organization exempt from Federal Income Tax under section 501 (c) (3) of the Internal Revenue Code (or corresponding provision of any future United States Internal Revenue Law), and (b) by an Organization, contribution to which are deductible under section 170 (c) (2) of the Internal Revenue Code (or corresponding provision of any future United States federal Tax Code).

The Temple shall comprise of the following bodies: General Body, Board of Trustees, Executive Committee, and Standing Committees. The Executive Committee may appoint Ad-Hoc Committees or Sub-Committees and their chairpersons for special tasks as needed.

The General Body shall comprise all the members of the Temple in good standing. A member in good standing hereby refers to one who has contributed and actively participated in the activities of the Temple for at least two months according to the By-laws. Any person of legal age who agrees to participate in accomplishing the Mission of the Temple and pledges to abide by its Articles of Incorporation and the By-laws can become a member. The categories of membership shall be governed by the By-laws. Each member shall have the right to one vote.

  1. Only the General Body, as the primary organ of the Temple, shall be empowered to make or amend the Articles of Incorporation and the By-laws governing the management of the Temple.

  2. This Articles of Incorporation and the By-laws may be amended by a motion adopted by a two-third majority vote of the members present and voting at the Annual General Body meeting, provided such an amendment is proposed in writing by a member in good standing and submitted to the Secretary of the Executive Committee at least three (3) months prior to the Annual General Body meeting or a special meeting. An amendment shall be effective immediately after its adoption by the General Body.

All services performed by members to the Temple shall be done on a voluntary basis. Any exception to this shall be only with prior approval of the Executive Committee

The executive committee shall consist of twelve (12) elected members from the general body plus up to three (3) members from the Board of Trustees desirous of serving in the executive committee and elected by the general body. The members elected to the executive committee from the board of trustees shall serve for a term of two (2) years The total number of members serving the executive committee shall not exceed fifteen (15). The Executive Committee shall make all the basic policies of the Temple in accordance with the Articles of Incorporation and the By-laws of the Temple.

All members in good standing are eligible for serving in the Executive Committee. All members of the Executive Committee are eligible for reelection and the term of each member shall be as described in Article 3 of the By-Laws.

The Executive Committee may fill any vacancy that arises in the committee for the remainder of the term by appointment.

"Members of the board of trustees shall comprise of members who contribute an amount of $5000 or more, once in his/her life time, payable in two years consecutively, starting from the year 2002 and onwards and are desirous of serving in the board of trustees and members elected by general body. The eligible members to the board of trustees shall express in writing their willingness to serve in the board of trustees. Also members of board of trustees desirous of serving in the executive committee shall submit in writing their willingness to serve in the executive committee. The final approval to be a member of the executive committee will be made by the general body through a majority vote on each person by ballot as described in article 3 and article xiii.

The funds and activities are for the following purposes:

  • For religious and cultural activities and community services through annual contributions, large and small donations, and other legal contributions.

  • To own, lease, and operate property and equipment and other facilities necessary for accomplishing the Mission of the Temple.

  • To solicit contributions in the form of grants, donations, gifts and endowments for the use of the Temple and affiliated tax exempt organizations.

  • To establish as a non-profit organization under the general not-for-profit corporation act. 

In the event of dissolution of the Temple Association, the Board of Trustees, after paying or making provisions for payment of all of the known liabilities of the Temple shall dispose of all its assets exclusively for the purpose of the Temple in such manner, or to such Organization(s) organized and operated exclusively for Hindu religion, educational, and charitable purposes as shall at the time qualify as a tax exempt Organization(s), under Section 501 (c) (3) of the Internal Revenue Code (or corresponding provision of any future United States Internal Revenue Law) as the Board of Trustees shall determine.

Revised Articles of Incorporation take into effect from December 15, 2002 as voted by general body.
